This listed financial services organisation is looking for a Senior Assistant Company Secretary to join their London team.
The Senior Assistant Company Secretary will be responsible for company secretarial matters of a large group of entities (over 100 companies in c.20 jurisdictions) while also advising on corporate governance matters within the growing in-house Legal & Company Secretarial team.
Some of your responsibilities will include:
- Creating a subsidiary governance programme for around 20 regulated entities, and running that programme (board meetings, minutes, papers) on an ongoing basis
- Drafting, or working with overseas counsel to draft, group corporate governance documentation, including board minutes, resolutions and share applications.
- Supporting with new director engagements, reviewing annual reports and AGM notices, drafting board or committee processes, policies or minutes, preparing RNS and PDMRs for director's dealings
- Being company secretary to the Audit & Risk committee
To be successful in this role you will be part / fully qualified with previous financial services experience, ideally with some listed experience. A legal background would also be highly beneficial. There will be an expectation to be in the office 2 - 3 days per week
